Acceptance of terms
ML Data is operated by Matrixedlabs Technologies - FZCO. The ML Data website (ml-data.io), the dashboard (dashboard.ml-data.io), the ML Data API and the related documentation (together, the "Service") are operated by Matrixedlabs Technologies - FZCO, a free zone company with limited liability incorporated in Dubai Silicon Oasis, United Arab Emirates, registration no. 79739, licence no. 86491 issued by the Dubai Integrated Economic Zones Authority, with its registered office at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates ("we", "us" or "our"). "ML Data" is the name of the product.
These Terms of Service (the "Terms") govern your use of the Service. By visiting the website, creating a dashboard account, starting a trial or calling the API, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
If you have signed a separate agreement with us, such as an Enterprise contract, a master services agreement or a statement of work, that agreement controls wherever it conflicts with these Terms.
Our Privacy Policy (ml-data.io/legal/privacy) explains how we handle personal data when you use the Service.
Eligibility
You may use the Service only if you are at least the age of majority in your jurisdiction and legally able to enter into binding contracts.
Business use. The Service is offered for business use. When you create an account, you confirm that you use the Service for purposes related to your trade, business or profession.
If you use the Service on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Terms. In that case "you" means that entity.
You confirm that your access to our services has not previously been restricted by us. You also confirm that you are not listed on any trade embargo or economic sanctions list, including the United Nations Security Council sanctions list, the Specially Designated Nationals list maintained by the U.S. Office of Foreign Assets Control (OFAC), the lists of the UAE Executive Office for Control and Non-Proliferation (EOCN), the UAE Local Terrorist List or the consolidated list of the European Union.
You may not use the Service from a jurisdiction where its use is restricted by applicable law.
API credentials
Access to the API requires a dashboard account and an API key. You sign in to the dashboard with a GitHub account or with an email address. With an email address you use a password or a one-time sign-in link that we send to that address. A trial requires a linked GitHub account. Your use of GitHub is governed by its own terms.
Account security. Anyone who can access your GitHub account, your password or your email account may be able to access your ML Data account. Keep each of them secure, for example with two-factor authentication. Keep your password secret. Do not reuse it on other services.
Keep the information in your account accurate and up to date, including your billing details. We are not liable for losses caused by out-of-date account information.
API keys are issued in the dashboard. A trial comes with a single key; paid plans allow up to ten. You are responsible for keeping your keys secret and for all usage made with them, whether or not you authorised it, unless the compromise resulted from our breach of our security obligations. Do not place keys in public code, client-side applications or shared repositories.
If you believe a key or your account has been compromised, you must tell us immediately at support@ml-data.io. Revoke the key in the dashboard straight away as well. On your notice we will promptly revoke the affected keys. Usage made with a key before it is revoked counts toward your credits and remains payable, unless the compromise resulted from our breach of our security obligations.
Keys and accounts are personal to you. You may not sell, share, transfer, lend or pool them, or let third parties use your account, without our written consent.
Fees and payment
Plans. The Service is offered as a free trial, as self-serve paid plans and as Enterprise plans agreed by contract. Current plans, prices, included credits, rate limits and overage rates are published on our pricing page at ml-data.io/pricing. Prices are in US dollars.
Trial. The trial is free, needs no payment card and runs for the period stated on the pricing page. It includes a fixed credit allowance plus one API key. When either the trial period or its credits run out, requests stop. A trial never incurs overage charges. Each GitHub identity can start one trial only. If you upgrade to a paid plan, your trial key keeps working.
Credits. Paid plans include a credit allowance for each monthly period. API calls use credits according to the credit rules on the pricing page. Only successful calls use credits: a request that returns an error uses none. On annual plans the allowance refills every month from your subscription start date. Unused plan credits expire at the end of each monthly period and do not roll over. Bonus credits we grant separately, for example as a reward, do carry over. They are used after your plan credits.
Overage. Overage is off by default. With overage off, requests stop when your included credits run out, until your next period begins. You can switch on overage in the dashboard by setting a monthly spending cap in US dollars. The cap is monthly on annual plans too. With overage on, requests keep being served while your subscription is active. Extra usage is billed per started block of 100,000 credits at your plan's overage rate, so the first extra credit starts a full block. Charges never exceed your cap. Usage is checked every few minutes, so requests may briefly continue past your credits or cap. Charges still stay within the cap. You are responsible for all overage charges within that cap.
Billing cycle. Paid plans are billed in advance through our payment processor Stripe, monthly or annually as you choose when you subscribe. Your billing period starts on the day your subscription starts. You manage your plan, payment method and invoices in the dashboard at dashboard.ml-data.io. Overage is billed monthly in arrears, also on annual plans.
Auto-renewal. Your subscription renews automatically at the end of each billing period for another period of the same length. The plan price is then charged to your payment method on file. This continues until you cancel.
Plan changes. Upgrades and downgrades take effect straight away. Stripe prorates the price. A downgrade results in a credit on your next invoice, not a cash refund. Your credits for the rest of the period become the new plan's allowance minus what you already used this period, never below zero.
Cancellation. You can cancel a subscription in the dashboard at any time. To stop the next renewal, cancel before the end of your current billing period: a cancellation made by then takes effect at the end of that period. You keep access until then. You can also undo the cancellation before it takes effect. After that your keys stop serving requests but are not deleted, so they work again if you subscribe again.
Refunds. Fees are non-refundable except (a) where we terminate without cause (pro rata, see Suspension and termination), (b) where the Service is unavailable for a continuous period exceeding 72 hours due to our fault, in which case we credit the affected period, or (c) where applicable consumer protection law gives you a non-waivable right to a refund. Outside these exceptions, unused credits and the unused part of an annual term are not refunded.
Failed payments. If a payment fails, your remaining included credits keep working, but overage and the next credit refill pause until the invoice is paid. We may suspend API access if the amount stays unpaid. A chargeback suspends the account straight away.
Contract plans. Enterprise and other contract plans follow their signed contract. They are not metered in credits. They use the daily request quotas agreed in the contract. If a contract plan is invoiced manually, access continues for fourteen (14) days after the paid-until date, then ends unless the invoice is paid.
Price changes. We may change prices or plan contents. We will tell you about a change to the price of your paid plan by email to your account email address at least 30 days before it applies. On a monthly plan the new price applies from the first billing period that starts after those 30 days. On an annual plan it applies at your next renewal after those 30 days. You may cancel before the new price applies.
Taxes. Prices are stated in US dollars and are exclusive of value added tax and any other applicable taxes. Where Matrixedlabs Technologies - FZCO is required to charge UAE VAT (currently 5 per cent), it will be added to your invoice. Supplies to business customers established outside the UAE are generally zero-rated as exports of services under Article 31 of the UAE VAT Executive Regulation, provided you confirm your place of establishment and, if applicable, your tax registration number. You are responsible for any reverse-charge, withholding or local taxes in your jurisdiction. We do not provide tax advice.
Services provided
ML Data provides crypto market data derived from on-chain DEX liquidity: prices, price history, liquidity depth and related metadata. What you can access through the API depends on your plan, as described on the pricing page.
Data shown publicly on the website is delayed and limited. Prices there are delayed by about 60 seconds, charts cover up to 28 days of history and depth figures show the current value only. It is provided for information. It is not a data feed for your systems.
The pairs, chains and history we cover change over time as markets and on-chain liquidity change. History for each chain starts at our collection start for that chain.
Each plan has rate limits and connection caps. Requests above them may be throttled or rejected.
The Service is provided as available, without uptime commitment. We do not guarantee uninterrupted access or a specific uptime on self-serve plans. Service levels, where offered, are set out in an Enterprise contract.
We may add, change or remove features, endpoints, pairs or data fields at any time. Where a change materially reduces what a paid plan includes, we will give reasonable notice where practical.
Acceptable use
Data. In these Terms, "Data" means the prices, quotes, depth figures, history and other data you obtain through the Service.
Internal Use. You may use the Data for Internal Use only, within the limits of your plan. "Internal Use" means use by your own personnel for your own analysis and operations.
Redistribution. "Redistribution" means making Data or substantially similar data available to any third party, including your end users, in any form. Redistribution requires an Enterprise redistribution licence. Without one, you may not resell, redistribute, sublicense or publish the Data, or display it to third parties, whether raw or in a form from which it can be recovered, except as the Derived Data paragraph below allows.
Derived Data. You may display to your own users values that you have calculated from the Data (for example a portfolio valuation, an index or an aggregate), provided that (a) the underlying prices, quotes, depth or other Data cannot reasonably be reverse-engineered or reconstructed from what you display, (b) you do not display the Data itself, time-and-sales, order-book depth or any field in raw or lightly transformed form, (c) you do not describe or market your product as a source of our Data, and (d) you attribute us only as we permit. We may require you to demonstrate compliance on request and may withdraw this permission on 30 days' notice if we reasonably consider it is being used to redistribute Data. Any other display to third parties requires an Enterprise agreement.
Fair use. You may not share or pool keys or accounts to get around plan limits, open more than one trial, or work around rate limits, credit metering, spending caps or other technical controls.
Website data. You may not scrape the website or its public price data. Use the API instead.
Security. You may not interfere with or overload the Service, probe it for vulnerabilities without our written permission, or reverse engineer, disassemble or decompile any part of it. Security researchers can reach us through the security contact on our Privacy Policy page.
Law. You may not use the Service for any unlawful purpose, to infringe the rights of others or in breach of sanctions.
We monitor usage to meter credits, enforce limits and confirm compliance with these Terms.
No investment advice
ML Data provides market data only. Nothing in the Service, including prices, depth figures, feed pages, articles or methodology notes, is investment, financial, trading, legal or tax advice. Nor is it a recommendation to buy, sell or hold any asset. Our services are not investment advisory services.
The Data may contain errors or delays. You bear all trading, investment and hedging decisions you make with the Data. You alone are also responsible for other decisions you make with it, such as lending, liquidation, settlement or valuation decisions. You are also responsible for the safeguards you build around it, such as staleness checks, circuit breakers or fallback sources.
We do not provide consultancy under these Terms, nor do we engage in activities that could be construed as consulting.
Intellectual property
We and our licensors retain all rights, title and interest in the Service, including the software, databases, compiled datasets, methodology and documentation. Copying, distributing or reverse engineering them, except as these Terms allow, is prohibited.
Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the Service and use the Data for Internal Use within the limits of your plan. Unless a signed contract says otherwise, this licence ends when your trial or plan ends.
Redistribution rights exist only where a signed Enterprise contract grants them, within the scope stated there.
If you send us content through the Service, you give us a limited, non-exclusive licence to use it only as needed to provide the Service. If you send us feedback or suggestions, we may use them without obligation to you.
"ML Data", our logos and related product names are our trademarks or those of our affiliated companies. You may not use them without prior written permission.
Third-party networks and services
Our data is derived from public blockchains, decentralised exchanges and other on-chain sources that we neither operate nor control. These networks can suffer outages, reorganisations, congestion, manipulation, bugs or forks. Any of these can delay or distort the data.
We are not responsible for the operation, availability or behaviour of these networks or protocols.
The Service also relies on third-party providers, such as GitHub for sign-in, Stripe for payments and our hosting and network providers. Their services are governed by their own terms. Their inclusion does not imply our endorsement. We are not liable for their availability, or for the content, products or services they provide.
Links to third-party websites are provided for convenience only. We do not endorse, control or make any representation about those sites.
Disclaimer of warranties
The Service and all data are provided on an "as is" and "as available" basis. Market data from on-chain sources can be delayed, incomplete, inaccurate or interrupted. Your use of the Service is at your own risk.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non-infringement.
The Service is not designed for hazardous environments or for uses where a failure could lead to death, personal injury or environmental damage.
Limitation of liability
To the fullest extent permitted by law, neither party (including its licensors and agents) is liable for any indirect, incidental, special, consequential or punitive damages arising out of or relating to these Terms or the Service. This includes lost profits, trading losses, lost opportunities, loss of goodwill, loss of use or loss of data, even if that party was advised such damages were possible.
This exclusion covers damages resulting from the use of the Service or the inability to use it, from delayed or inaccurate data, from unauthorised access to your account or keys, or from the acts of any third-party network or provider.
The maximum aggregate contractual liability of either party for all claims arising out of or relating to these Terms or the Service is the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim and (b) USD 100. The USD 100 minimum applies to every user, trial users included. This cap does not reduce any fees you owe us.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, gross negligence or wilful misconduct, or for any other liability that cannot be limited or excluded by law.
The exclusion and the cap above do not apply to your liability for breach of confidentiality, for infringement of our intellectual property, or for Redistribution or any other use of the Data that these Terms do not permit.
Some jurisdictions do not allow certain limitations of liability, so these limits may not apply to you in full.
Indemnification
You will defend, indemnify and hold harmless us and our affiliates, directors, officers, employees and agents from any claims, losses, damages, liabilities, costs or expenses (including reasonable legal fees and fines or penalties imposed by a regulator) arising from your use or misuse of the Service, your Redistribution of Data or other use of it that these Terms do not permit, your breach of these Terms, your violation of any law or third-party right, or any third-party claim arising from your use of the Service.
This includes claims arising from your applications or your users.
We have the sole right to manage any resulting legal action, including whether to settle it and on what terms.
Suspension and termination
You can stop using the Service at any time. You can cancel a paid plan in the dashboard. To close your account, contact support@ml-data.io.
We may suspend or limit your access straight away where needed for operational or security reasons, for example after a suspected key compromise, abusive traffic or a failed payment. For other breaches of these Terms we will notify you first. We may then suspend access if the breach is not remedied within thirty (30) days of that notice.
We may terminate your access if you breach these Terms, if you misuse trials or if providing the Service to you becomes unlawful.
We may also end a paid plan without cause by giving you notice. In that case we refund, pro rata, the fees you prepaid for the part of the billing period after the end date.
When your access ends, the rights and licences granted to you end with it and your API keys stop working. You may keep Data you obtained lawfully during your plan in your internal records only. You must delete, or cease all use of, any Data obtained in breach of these Terms.
All licence restrictions in these Terms survive termination. Other sections that by their nature should survive termination also remain in effect, including fees owed, intellectual property, disclaimers, limitation of liability, indemnification and governing law.
Force majeure
We are not liable for delays or failures to perform caused by events beyond our reasonable control. Examples include natural disasters, epidemics, war, riots, strikes, acts of God, government action, failures of public blockchains or the internet and outages at our hosting, network or payment providers.
We will take reasonable steps to limit the impact of such an event. We will resume normal service as soon as practicable.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
You may resolve disputes with us only on an individual basis. You may not bring a claim as a plaintiff or class member in any class or representative proceeding.
Any claim relating to these Terms or the Service must be brought within one (1) year from the date the cause of action arises. After that, it is permanently barred.
If you are a consumer, nothing in these Terms removes protections that the mandatory law of your country of residence gives you.
Changes to these terms
We may update these Terms from time to time. The date at the top of this page shows when they last changed. Each change is listed with its date in the change log below.
Material changes. We will tell paid customers about a material change by email to the account email address at least 30 days before it takes effect. If you do not accept the change, cancel your plan before it takes effect. By continuing to use the Service after that date, you accept the updated Terms.
Other changes. Changes that are not material and changes required by law take effect when we post them on this page.
Change log. 2026-10-27: published; the draft label removed, no change to the text. 2026-10-26: second draft, after legal review. 2026-09-28: first draft.

Waiver. If we do not enforce a right or provision of these Terms, that is not a waiver of it.
Assignment. Neither party may assign or transfer these Terms, or any rights or obligations under them, without the other party's prior written consent.
